These Terms of Service ("Terms") govern the services provided by FounderMate LLC, a Wyoming limited liability company with its address at 30 N Gould St, STE R, Sheridan, WY 82801, USA ("FounderMate", "we", "us"). By ordering a service, you (the "Client") agree to these Terms.
1. Our services
We design and build software products for clients, mainly minimum viable products (MVPs), and maintain them after launch. Our services and prices are listed on our Pricing page: MVP Spec, Launch MVP, Build Sprint and Care Plan. All services are delivered online.
2. Orders, scope and change requests
- You order by contacting us via WhatsApp or email. We confirm the scope in writing, usually within 1 business day, and send an invoice.
- Work starts after we receive the payment due at kickoff.
- The agreed scope is the written scope we confirm with you. Anything outside it is a change request.
- Change requests are quoted separately, normally as one or more Build Sprints, and start only after you approve them in writing.
3. Prices and payment
All prices are in US dollars and exclude taxes, bank or payment fees and third-party costs.
- MVP Spec: $490, paid in full before work starts. The fee is credited toward Launch MVP if you order it.
- Launch MVP: $4,900, paid 50% at kickoff and 50% at delivery.
- Build Sprint: $2,500 per two-week sprint, paid at the start of each sprint.
- Care Plan: $299 per month, billed monthly in advance. You can cancel anytime.
Invoices are payable on receipt. We may pause work while an invoice is overdue. Third-party costs such as hosting, domains, app store fees and paid APIs are paid by you directly to those providers, unless we agree otherwise in writing.
4. Your responsibilities
You agree to provide the information, feedback, content and access we need in a timely way. You are responsible for the content you provide, for having the rights to use it, and for your product's compliance with the laws that apply to it, including your own terms of service and privacy policy.
5. Intellectual property
- After we receive full payment for a service, we assign to you all rights in the custom code, designs and documents we create specifically for you under that service (the "Deliverables").
- Until full payment is received, the Deliverables remain our property.
- We keep ownership of our pre-existing tools, libraries, templates and know-how. Where they are part of a Deliverable, you receive a perpetual, royalty-free license to use them as part of your product.
- Open-source components remain subject to their own licenses.
6. Confidentiality
Each party will keep the other party's non-public information confidential and use it only to perform or receive the services, except where disclosure is required by law.
7. Warranties
We perform our services with reasonable skill and care. Apart from that, the services and Deliverables are provided "as is". We do not guarantee that your product will be free of errors or that it will achieve any particular business result.
8. Limitation of liability
To the maximum extent permitted by law, FounderMate LLC is not liable for any indirect, incidental, special or consequential damages, or for lost profits, revenue or data. Our total liability for any claim related to a service is limited to the amount you paid us for that service in the three months before the claim arose.
9. Cancellation and termination
You can cancel a service as described in our Refund Policy. We may stop work if an invoice remains unpaid or if these Terms are seriously breached. The sections on payment, intellectual property, confidentiality and limitation of liability continue to apply after termination.
10. Governing law
These Terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-law rules. Any dispute will be resolved in the state or federal courts located in Wyoming.
11. Changes to these Terms
We may update these Terms from time to time. The current version is always available on this page. Services already ordered remain under the Terms in effect when they were ordered.
